eSIM Commerce Terms of Service

Buyer Terms

These Terms of Service (these Terms) govern access to and use of the eSIM Commerce and related services provided by ROKKODE Inc. (ROKKODE, we, us, our) by business customers that purchase eSIM products for resale or internal business use (you, your, Buyer). By creating an account, accessing the API or dashboard, placing an order, or otherwise using the Services, you agree to be bound by these Terms.

If you do not agree, do not use the Services.

1. Definitions

  • 1.1 Account means the Buyer account registered with ROKKODE for access to the Services.
  • 1.2 API means the application programming interface endpoints, keys, documentation, SDKs (if any), and related developer tooling made available by ROKKODE.
  • 1.3 Buyer means a reseller, travel agency, OTA, enterprise, or other business entity that purchases eSIM Products through the Services.
  • 1.4 Dashboard means the web based interface used to manage Orders, eSIM delivery artifacts, billing, balances, and related operations.
  • 1.5 eSIM means an embedded subscriber identity module profile or equivalent digital SIM profile.
  • 1.6 eSIM Artifact means the QR code, activation code, installation details, or URL delivered for an eSIM Product.
  • 1.7 eSIM Product means a local prepaid eSIM plan or package offered through the Services, including associated terms and constraints set by the applicable Supplier.
  • 1.8 Order means a purchase request submitted via the API or Dashboard for one or more eSIM Products.
  • 1.9 Supplier means the underlying mobile network operator, carrier, or primary distributor supplying inventory or fulfillment to ROKKODE for resale to Buyers.
  • 1.10 Services means the eSIM Commerce, Dashboard, documentation, sandbox environment (if any), support, and related features offered by ROKKODE to Buyers.
  • 1.11 Unused means, by default, an eSIM Product for which the Buyer has not installed the eSIM on any device. Supplier specific criteria may apply and may override the default definition.

2. Scope and relationship

2.1 Business use only. The Services are offered solely for business use. You represent that you are acting on behalf of a business entity and have authority to bind that entity.

2.2 Reseller model. ROKKODE purchases eSIM Products from Suppliers and resells them to Buyers. Unless expressly stated otherwise in a written agreement signed by ROKKODE, your contract for the purchase of an eSIM Product is with ROKKODE, and ROKKODE is the seller of record.

2.3 Supplier terms. Certain aspects of an eSIM Product are controlled by the Supplier, including availability, technical constraints, activation and installation rules, coverage characteristics, and in some cases refund eligibility. Where Supplier rules apply, they may supersede the default policies described in these Terms, as described in Section 10.

2.4 No end user relationship. Your end users are not parties to these Terms. You are solely responsible for your agreements with your end users, including disclosures, support, and compliance.

3. Account registration and access

3.1 Registration. To use the Services, you must create an Account and provide accurate and complete business information. You must keep Account information up to date.

3.2 Authorized users. You are responsible for all activity under your Account, including actions of employees, contractors, and other authorized users. You must ensure that each authorized user complies with these Terms.

3.3 Security. You must protect Account credentials and API keys and must promptly notify ROKKODE if you suspect unauthorized access or compromise. You are responsible for losses arising from your failure to secure credentials.

3.4 Eligibility and screening. ROKKODE may refuse registration, suspend access, or require additional verification based on risk, compliance, or operational considerations.

4. API, Dashboard, and documentation

4.1 License to use. Subject to these Terms, ROKKODE grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Services for your internal business purposes, including purchasing eSIM Products and managing Orders.

4.2 API usage rules. ROKKODE may impose rate limits, usage quotas, concurrency limits, and other technical restrictions to protect the Services. You must comply with those restrictions.

4.3 Changes. ROKKODE may update or modify the API, Dashboard, or documentation. ROKKODE may deprecate features or versions. Where reasonably practicable, ROKKODE will provide advance notice for material changes.

4.4 Sandbox. If a sandbox environment is provided, it is for testing and evaluation. Sandbox data and behavior may differ from production and may be reset or deleted without notice.

5. Acceptable use and prohibited conduct

5.1 General obligations. You must use the Services in a lawful manner and in accordance with these Terms and applicable laws and regulations.

5.2 Prohibited conduct. You must not, and must not permit others to:

  • use the Services for unlawful, fraudulent, deceptive, or abusive purposes
  • circumvent or attempt to circumvent security, rate limits, access controls, or other safeguards
  • reverse engineer, decompile, or attempt to derive source code or underlying ideas except to the extent prohibited by law from being restricted
  • interfere with or disrupt the Services, including through excessive requests, scanning, probing, or automated abuse
  • access or use the Services to build or improve a competing product by copying or extracting material portions of the Services or documentation
  • misrepresent affiliation with ROKKODE, eSIM Commerce, or any Supplier
  • resell or sublicense the Services themselves (as distinct from reselling eSIM Products you have purchased), unless authorized in writing by ROKKODE

5.3 Compliance controls. ROKKODE may monitor usage patterns and take action to prevent abuse, fraud, or operational harm.

6. Catalog, product information, and availability

6.1 Product descriptions. ROKKODE and Suppliers may provide information about eSIM Products such as coverage, speed, data amounts, duration, activation rules, and limitations. Such information may change and may contain errors.

6.2 No performance guarantee. Network performance, speeds, latency, coverage, and quality are subject to many factors and are not guaranteed. Any marketing statements about performance are targets or general descriptions and do not create a warranty.

6.3 Availability. eSIM Products may be limited, withdrawn, or unavailable at any time. ROKKODE may reject or cancel Orders if an item becomes unavailable or cannot be fulfilled.

7. Orders, fulfillment, and delivery

7.1 Order placement. You may place Orders via the API or Dashboard. An Order is not accepted until confirmed by the Services or otherwise confirmed by ROKKODE.

7.2 Order processing. Orders may be fulfilled from inventory or via on demand provisioning with a Supplier. Processing times may vary.

7.3 Delivery. Upon successful fulfillment, ROKKODE will deliver eSIM Artifacts via the API response, Dashboard, and where offered, downloadable files such as CSV.

7.4 Delivery completion and risk. Delivery is considered complete when the eSIM Artifacts are made available to you through the Services. You are responsible for storing and distributing eSIM Artifacts securely. Risk of loss, compromise, or misuse transfers to you upon delivery completion.

7.5 Duplicate and erroneous Orders. You are responsible for preventing duplicate Orders. If an Order is duplicated due to your systems, you remain responsible for charges unless ROKKODE determines, in its sole discretion, that a refund is appropriate under Section 10.

8. Pricing, taxes, and commercial terms

8.1 Pricing. Prices, volume conditions, postpaid conditions, and related commercial terms may be provided separately during contracting and may be viewable in the Dashboard thereafter. Those commercial terms are incorporated by reference into these Terms.

8.2 Taxes. Prices may be exclusive of applicable taxes unless stated otherwise. You are responsible for taxes, duties, and similar governmental charges associated with your purchase and resale, including any taxes arising in your jurisdictions.

8.3 Price changes. ROKKODE may change prices for future Orders. Price changes will not apply retroactively to Orders already accepted.

9. Payment terms

9.1 Payment methods. ROKKODE supports card payments and bank transfers. Additional methods may be introduced.

9.2 Prepaid. If you are on prepaid terms, you must pay in advance or maintain sufficient balance as displayed in the Dashboard to cover Orders and any applicable fees. ROKKODE may require cleared funds before fulfilling Orders.

9.3 Postpaid. If you are approved for postpaid terms, you may be invoiced based on your agreed billing cycle. Postpaid availability is subject to ROKKODE review and may depend on factors such as credit evaluation, payment history, expected volumes, and other criteria. ROKKODE may set, adjust, or revoke credit limits.

9.4 Late payments. If you fail to pay amounts when due, ROKKODE may suspend fulfillment, suspend access, revoke postpaid privileges, charge late fees or interest as permitted by law, and pursue collection.

9.5 Chargebacks and disputes. You must notify ROKKODE promptly of any billing dispute and cooperate in good faith to resolve it. Improper chargebacks may result in suspension or termination.

10. Refunds, cancellations, and returns

10.1 General rule. Unless required by law or expressly stated in writing by ROKKODE, all sales are final except as provided in this Section 10.

10.2 Default unused refund policy. Subject to Section 10.4, ROKKODE will provide a full refund for Unused eSIM Products. By default, Unused means not installed on any device.

10.3 How to request a refund. You must submit a refund request through the Dashboard or support channel designated by ROKKODE and provide Order identifiers and any information reasonably requested to verify eligibility.

10.4 Supplier criteria may override. Some Suppliers may define unused or refundable status differently, may impose time limits, may exclude certain products, or may require verification steps. If a Supplier specific standard applies to a product, that standard governs refund eligibility for that product. ROKKODE will apply the Supplier standard and may deny refunds that the Supplier denies.

10.5 Ineligible refunds. Refunds may be denied if:

  • the eSIM Product is not Unused under the applicable standard
  • the eSIM Artifact has been compromised, leaked, or distributed in a manner that prevents verification of unused status
  • the Order or Account is associated with fraud, abuse, or violation of these Terms
  • Supplier terms for the product exclude refunds or impose conditions not met

10.6 Fulfillment errors. If an eSIM Product is defective at delivery, cannot be provisioned, or the delivered eSIM Artifact is invalid due to a ROKKODE or Supplier fulfillment error, ROKKODE will, at its option, replace the eSIM Product, reissue valid delivery artifacts, or provide a refund, subject to Supplier constraints.

10.7 Timing and method. Refunds may be issued to the original payment method, to your prepaid balance, or by another method determined by ROKKODE based on the payment method and operational constraints. Refund processing times may vary.

10.8 Order cancellation. If cancellation is available for an Order, it must occur before fulfillment begins. Once an eSIM Artifact is delivered, cancellation is not available and refund eligibility is governed by this Section 10.

11. eKYC and regulatory requirements

11.1 Potential requirement. Certain eSIM Products or jurisdictions may require identity verification for activation or lawful use.

11.2 Third party verification. If eKYC is required, ROKKODE may direct you or your end user to complete verification with a third party verification provider.

11.3 No end user data handling by ROKKODE. ROKKODE does not collect, store, or verify end user personal information for eKYC purposes. Any personal data submitted for eKYC is handled by the third party verification provider under its terms.

11.4 Your responsibility. You are responsible for ensuring that any required eKYC is completed and for obtaining all necessary consents and disclosures to your end users.

12. Support and service management

12.1 Support. ROKKODE may provide support channels and response targets. Support may vary by plan or commercial terms.

12.2 Maintenance and outages. The Services may be unavailable due to maintenance, upgrades, or outages. ROKKODE may perform maintenance with or without notice where necessary.

12.3 Status information. If ROKKODE provides a status page or incident communications, they are informational and do not create obligations unless expressly stated as an SLA in a signed writing.

13. Intellectual property and data

13.1 ROKKODE IP. The Services, including the API, Dashboard, documentation, and all related software and content, are owned by ROKKODE or its licensors and are protected by intellectual property laws. No rights are granted except as expressly stated.

13.2 Your data. You retain rights in data you provide to ROKKODE. You grant ROKKODE a limited license to use such data to provide, secure, and improve the Services, to prevent fraud and abuse, and to comply with legal obligations.

13.3 Feedback. If you provide feedback or suggestions, you grant ROKKODE the right to use them without restriction or compensation.

14. Confidentiality

14.1 Confidential information. Each party may receive confidential information of the other, including pricing, documentation not publicly shared, technical details, and business information.

14.2 Obligations. You must protect ROKKODE confidential information using reasonable care and may use it only to use the Services. You may disclose it to your personnel who need to know and who are bound by confidentiality obligations.

14.3 Exceptions. Confidentiality obligations do not apply to information that is publicly available without breach, independently developed, or lawfully obtained from a third party.

15. Warranties and disclaimers

15.1 Limited warranty. ROKKODE will provide the Services using reasonable care and skill.

15.2 Disclaimers. Except as expressly stated, the Services and eSIM Products are provided on an as is and as available basis. ROKKODE disclaims all implied warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and noninfringement.

15.3 Telecommunications characteristics. You acknowledge that connectivity services depend on third party networks and conditions outside ROKKODE control. ROKKODE does not warrant uninterrupted service, specific speeds, latency, coverage, or suitability for any particular use.

16. Limitation of liability

16.1 Indirect damages. To the maximum extent permitted by law, ROKKODE is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunities, or data, even if advised of the possibility.

16.2 Liability cap. To the maximum extent permitted by law, ROKKODE total liability arising out of or relating to the Services or these Terms will not exceed the total amounts paid by you to ROKKODE for the affected Orders giving rise to the claim during the three months immediately preceding the event that first gave rise to the claim.

16.3 Exceptions. Nothing in these Terms limits liability that cannot be limited under applicable law.

17. Indemnification

17.1 Your indemnity. You will indemnify and hold harmless ROKKODE and its officers, directors, employees, and agents from and against claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or relating to:

  • your resale or distribution of eSIM Products to end users
  • your agreements, statements, or warranties to end users
  • your violation of these Terms or applicable law
  • your misuse or insecure handling of eSIM Artifacts

17.2 Process. ROKKODE will notify you of an indemnified claim and will reasonably cooperate. You will control the defense and settlement, provided you may not settle in a manner that admits fault by ROKKODE or imposes obligations on ROKKODE without ROKKODE prior written consent.

18. Suspension and termination

18.1 Suspension. ROKKODE may suspend access to the Services or fulfillment of Orders immediately if:

  • you breach these Terms
  • payment is overdue or chargebacks occur
  • ROKKODE suspects fraud, abuse, or security risk
  • required by law, regulation, or a Supplier requirement

18.2 Termination by you. You may terminate your Account by providing notice to ROKKODE, subject to payment of all outstanding amounts.

18.3 Termination by ROKKODE. ROKKODE may terminate your Account with notice if you materially breach these Terms and fail to cure within a reasonable period, or immediately for serious breaches, fraud, or legal compliance reasons.

18.4 Effect of termination. Upon termination:

  • your licenses end and your access may be disabled
  • you remain responsible for all fees and charges incurred
  • Sections that by their nature should survive will survive, including intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and dispute resolution

19. Changes to these Terms

19.1 Updates. ROKKODE may update these Terms from time to time. If changes are material, ROKKODE will provide notice through the Dashboard, email, or other reasonable means.

19.2 Acceptance. Continued use of the Services after the effective date of updated Terms constitutes acceptance.

20. Governing law and jurisdiction

20.1 Governing law. These Terms are governed by the laws of Japan, excluding its conflict of law rules.

20.2 Jurisdiction. The Tokyo District Court has exclusive jurisdiction as the court of first instance for disputes arising out of or relating to these Terms or the Services.

21. Miscellaneous

21.1 Assignment. You may not assign or transfer these Terms or your rights or obligations without ROKKODE prior written consent. ROKKODE may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

21.2 Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control, including network outages, Supplier outages, acts of government, natural disasters, or labor disputes.

21.3 Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect.

21.4 Entire agreement. These Terms, together with incorporated commercial terms and referenced policies, constitute the entire agreement between you and ROKKODE regarding the Services and supersede prior communications on that subject.

21.5 Notices. ROKKODE may provide notices via the Dashboard, email, or other reasonable means. You must send notices to ROKKODE via the contact method specified in the Dashboard or on the ROKKODE website.

Appendix A: Order and refund practical notes (nonbinding)

This Appendix is for clarity and does not override these Terms.

  • Default unused means not installed, but some products follow Supplier rules
  • Refunds may be issued to prepaid balance or original payment method depending on payment rails
  • Protect QR codes and URLs as confidential delivery artifacts, treat them like keys
